PRELIMINARY DEFINITIONS AND INTERPRETATIONS

Definitions and Interpretations

WHEREAS, for the purposes of interpretation and implementation of this Privacy Policy and Data Processing Agreement (hereinafter referred to as the 'Policy'), and for the avoidance of any doubt or ambiguity that may arise in the interpretation thereof, the following terms shall have the meanings assigned to them hereinunder, unless the context expressly requires otherwise or unless specifically redefined in any particular section or provision hereof:

Company ("we," "our," "us") - shall mean and refer to XYZ Tech LLP, a Limited Liability Partnership duly incorporated and existing under the provisions of the Limited Liability Partnership Act, 2008, and includes its successors, permitted assigns, affiliates, subsidiaries, group companies, and duly authorized representatives, which owns and operates the trademark 'Yoopbook' (hereinafter referred to as the 'Trademark') and all associated intellectual property rights therein

Platform - shall mean and include any and all digital interfaces, applications, websites, software, systems, algorithms, databases, computer code, application program interfaces (APIs), or other technological means, whether existing presently or developed subsequently, through which the Company makes its Services accessible to Users, including but not limited to its website, mobile applications, and all associated technological infrastructure

Services - shall mean and encompass the entirety of offerings provided by the Company through its Platform, including but not limited to, and without limitation, the creation, generation, modification, customization, and delivery of personalized storybooks utilizing artificial intelligence technologies, character creation services, story generation services, image processing services, and any other products, services, content, features, technologies, functionalities, or offerings, whether existing presently or developed subsequently

User ("you," "your") - shall mean and refer to any natural person, legal entity, organization, body corporate, or other juridical person, whether acting individually or through authorized representatives, who accesses, uses, or otherwise interacts with the Platform or Services in any manner whatsoever, whether registered or unregistered, and includes all visitors, users, customers, and any other persons who access or establish any connection with the Platform

User Content - shall mean and include any and all materials, data, information, photographs, images, text, graphics, videos, audio recordings, or other content in any form whatsoever, that Users submit, upload, provide, transmit, or otherwise make available to or through the Platform, including but not limited to photographs for character creation, customization preferences, and any other user-generated or user-provided content

AI-Generated Content - shall mean and include any and all content, materials, outputs, modifications, adaptations, translations, transformations, or derivative works, in any form or medium whatsoever, that are created, generated, developed, or produced, in whole or in part, through the utilization of artificial intelligence technologies, machine learning algorithms, neural networks, or other automated systems owned, operated, or controlled by the Company, including but not limited to story narratives, character illustrations, visual elements, and any other artificially generated or artificially modified content

Intellectual Property Rights - shall mean and include, without limitation, any and all intellectual property rights, whether registered or unregistered, existing now or in the future, including but not limited to patents, copyrights, trademarks, trade names, service marks, trade secrets, designs, utilities, industrial rights, technical information, know-how, processes, methods, techniques, inventions, source code, object code, algorithms, architecture, records, documentation, and any other similar protected rights or intangible assets recognized under any laws or international conventions, and all registrations, applications, renewals, extensions, continuations, divisions or reissues thereof now or hereafter in force

Personal Information - shall mean and refer to any information that identifies or can be used to identify, contact, or locate the person to whom such information pertains, including but not limited to name, address, phone number, fax number, email address, financial profiles, social security number, and credit card information, or other information which can be reasonably linked to such information by the Company

Applicable Law - shall mean and include all applicable statutes, enactments, acts of legislature or parliament, laws, ordinances, rules, by-laws, regulations, notifications, guidelines, policies, directions, directives and orders of any governmental authority, tribunal, board, or court, including but not limited to the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, the Digital Personal Data Protection Act, 2023, and all other relevant and applicable privacy laws

INTELLECTUAL PROPERTY AND OWNERSHIP RIGHTS

Proprietary Rights and Ownership

WHEREAS, the Company hereby expressly declares, represents, and warrants, and the User expressly acknowledges, understands, and agrees, that all rights, titles, and interests in and to the Platform, Services, and all associated intellectual property rights, including but not limited to:

Any and all proprietary rights, titles, interests, ownership rights, and Intellectual Property Rights in and to the Platform, including but not limited to its entire contents, features, functionalities, and all components thereof, whether existing presently or developed subsequently, shall vest exclusively and absolutely with the Company
Any and all proprietary rights, titles, interests, ownership rights, and Intellectual Property Rights in and to all AI-Generated Content, including but not limited to all modifications, adaptations, translations, transformations, and derivative works thereof, whether generated wholly or partially through the Company's artificial intelligence technologies, shall vest exclusively and absolutely with the Company
Any and all proprietary rights, titles, interests, ownership rights, and Intellectual Property Rights in and to the Company's proprietary artificial intelligence technologies, machine learning algorithms, neural networks, automated systems, methodologies, processes, techniques, and all associated technological infrastructure, whether existing presently or developed subsequently, shall vest exclusively and absolutely with the Company
Any and all proprietary rights, titles, interests, ownership rights, and Intellectual Property Rights in and to any improvements, developments, modifications, enhancements, or upgrades to the Services, Platform, or any component thereof, whether developed independently or based on User feedback, shall vest exclusively and absolutely with the Company

Limited User License and Restrictions

WHEREAS, subject to the terms and conditions contained herein, the Company hereby grants to the User, and the User hereby accepts, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and utilize the Services solely for personal, non-commercial purposes in accordance with this Policy and any other applicable terms and conditions prescribed by the Company from time to time
Create and customize content within the Platform's designated parameters, subject to the understanding that all rights in such customizations and the resulting content shall vest with the Company
Download and maintain copies of authorized content solely for personal, non-commercial use, provided that all proprietary notices, attributions, and restrictions contained therein are preserved
Access and utilize the AI-Generated Content strictly within the scope of the license granted herein, subject to the condition that such utilization shall not violate any provisions of this Policy or any other applicable terms and conditions

License Restrictions

The User shall not, directly or indirectly, and shall not authorize any third party to, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Platform or any part thereof
The User shall not, directly or indirectly, and shall not authorize any third party to, copy, reproduce, distribute, republish, download, display, post, transmit, or sell any portion of the Platform or Services, without the prior written consent of the Company
The User shall not, directly or indirectly, and shall not authorize any third party to, remove, obscure, or alter any proprietary rights notices (including copyright and trademark notices) which may be affixed to or contained within the Platform or Services
The User shall not, directly or indirectly, and shall not authorize any third party to, use any automated means, including but not limited to agents, robots, scripts, or spiders, to access, monitor, or copy any part of the Platform or Services

INFORMATION COLLECTION AND PROCESSING FRAMEWORK

Categories of Information Collection and Processing

WHEREAS, the Company, in furtherance of providing its Services and maintaining the Platform's functionality, may collect, process, store, and utilize various categories of information, including but not limited to the following exhaustive categories enumerated hereinunder:

Account and Profile Information

Any and all electronic mail addresses and associated communication data provided by the User during registration or subsequent interactions with the Platform, including but not limited to email verification data, communication preferences, and associated metadata
Personal identifying information as voluntarily provided by the User, including but not limited to legal name, username, profile information, and any other identifying information as may be required for Service provision
Authentication credentials and associated security information, which shall be maintained in an encrypted format utilizing industry-standard encryption protocols and security measures
Any and all profile customization preferences, settings, configurations, and associated customization data as selected or modified by the User during Platform interaction
Service utilization configurations, preferences, and associated setting data as may be established or modified by the User
All communication preferences, history, logs, and associated interaction data generated through Platform usage
Geographic location data, regional preferences, and associated localization information as may be necessary for Service provision
Payment-related information as processed through authorized payment processing entities, subject to applicable financial regulations and security protocols

Platform Usage Information

Comprehensive Service interaction data, including but not limited to usage patterns, feature utilization metrics, and interaction timestamps
Detailed feature utilization patterns, including but not limited to functionality access logs, feature engagement metrics, and usage analytics
Complete content creation and modification records, including but not limited to creation timestamps, modification history, and version control data
Exhaustive transaction and order history, including but not limited to purchase records, service utilization logs, and associated metadata
Customer service interaction records, including but not limited to support tickets, communication logs, and resolution data
Platform navigation patterns, including but not limited to page access logs, feature utilization sequences, and user journey data
Service performance metrics, including but not limited to response times, error logs, and system performance data

Technical and Device Information

Device identification markers, including but not limited to unique device identifiers, hardware specifications, and device configuration data
Network identification information, including but not limited to IP addresses, network configuration data, and connection metrics
Browser specifications and configurations, including but not limited to browser type, version information, and preference settings
System and platform characteristics, including but not limited to operating system information, platform specifications, and compatibility data
Time zone configurations, regional settings, and associated localization data
Technical specifications, parameters, and associated configuration data
Performance analytics, usage metrics, and associated technical data necessary for Service optimization
Error logs, crash reports, and associated diagnostic information necessary for Platform maintenance and improvement

AI-Related Processing Data

Training data inputs, including but not limited to user-provided photographs, customization preferences, and associated metadata
AI model interaction data, including but not limited to processing requests, generation parameters, and output configurations
Quality assurance metrics, including but not limited to generation success rates, error logs, and performance indicators
Content optimization data, including but not limited to style preferences, generation parameters, and output specifications
Technical processing logs, including but not limited to resource utilization metrics, processing timestamps, and system performance data

DATA PROCESSING AND UTILIZATION FRAMEWORK

Legal Basis and Framework for Processing

WHEREAS, the Company processes information based on the following legally established grounds and frameworks, each of which constitutes a valid and binding basis for data processing:

Service Operation Necessity

Platform functionality maintenance and optimization, including but not limited to system updates, performance improvements, and technical enhancements
Service delivery optimization and enhancement, including but not limited to feature improvements, functionality updates, and service refinements
Technical administration and management, including but not limited to system maintenance, infrastructure management, and technical support
Security implementation and enforcement, including but not limited to threat detection, vulnerability management, and security protocol implementation
Performance monitoring and optimization, including but not limited to system metrics analysis, performance enhancement, and service optimization
Quality assurance and service reliability maintenance, including but not limited to testing, validation, and verification processes

Legitimate Business Interests

Service enhancement and development initiatives, including but not limited to feature development, functionality improvement, and service expansion
Risk assessment and fraud prevention measures, including but not limited to security protocols, fraud detection systems, and risk mitigation strategies
Legal compliance and protection mechanisms, including but not limited to regulatory adherence, compliance monitoring, and legal requirement fulfillment
Business analytics and research activities, including but not limited to usage analysis, trend identification, and service optimization studies
Platform security maintenance and enhancement, including but not limited to security protocol implementation, threat mitigation, and vulnerability management
Service quality improvement initiatives, including but not limited to performance optimization, user experience enhancement, and service reliability improvements

DATA RETENTION AND INFORMATION MANAGEMENT FRAMEWORK

Information Retention Framework and Guidelines

WHEREAS, the Company maintains absolute and unqualified discretionary authority over data retention periods, which shall be determined based on the following factors and considerations:

The Company shall retain information for such periods as may be necessary for ongoing service provision requirements, operational necessities, and business continuity purposes
Retention periods shall be subject to and in compliance with all applicable legal and regulatory obligations, including but not limited to statutory retention requirements
Information retention shall be guided by legitimate business interests, operational requirements, and service delivery necessities
Technical and security considerations shall influence retention periods, including but not limited to backup requirements and security protocols
Platform functionality maintenance requirements shall be considered in determining appropriate retention periods

Retention Specifications and Periods

Account-related information shall be retained for the entire duration of account existence and any subsequent period as may be required by applicable laws, regulations, or legitimate business purposes
Transaction records shall be maintained in accordance with applicable financial regulations, tax laws, and business requirements for such periods as may be necessary for legal compliance and business purposes
Platform interaction data shall be preserved for operational and analytical purposes for such duration as may be determined by the Company in its sole discretion
Communication records shall be archived in accordance with regulatory requirements and maintained for such periods as may be necessary for legal compliance and business purposes
Technical logs shall be retained for security and performance optimization purposes for such duration as may be determined necessary by the Company

SECURITY PROTOCOLS AND PROTECTIVE MEASURES FRAMEWORK

Comprehensive Security Infrastructure

WHEREAS, the Company implements, maintains, and regularly updates various security measures, protocols, and protective frameworks, including but not limited to the following exhaustive security implementations:

Technical Safeguards and Protocols

Implementation and maintenance of industry-standard encryption protocols utilizing advanced cryptographic algorithms and security methodologies for the protection of User data during transmission and storage
Deployment and management of robust access control mechanisms incorporating multi-factor authentication protocols, role-based access controls, and granular permission frameworks
Establishment and maintenance of comprehensive network security infrastructure including but not limited to firewalls, intrusion detection systems, and network monitoring tools
Implementation of advanced system monitoring capabilities utilizing automated threat detection, real-time alerting systems, and security incident response protocols
Deployment of sophisticated data protection frameworks incorporating backup systems, disaster recovery protocols, and business continuity measures
Utilization of advanced security testing methodologies including but not limited to penetration testing, vulnerability assessments, and security audits
Implementation of secure development practices including code review processes, security testing protocols, and secure deployment methodologies

Organizational Controls and Measures

Establishment and enforcement of comprehensive personnel security protocols including background verification processes, security training programs, and confidentiality agreements
Implementation of sophisticated access management systems incorporating user authentication protocols, access review procedures, and privilege management frameworks
Development and maintenance of detailed security policy frameworks encompassing data protection guidelines, security procedures, and compliance requirements
Establishment of comprehensive incident response procedures including detection protocols, containment measures, and resolution frameworks
Conduct of regular security assessments including risk evaluations, compliance audits, and security reviews
Implementation of change management procedures including security impact assessments, approval processes, and documentation requirements

Data Protection Controls

USER RIGHTS AND ACCESS CONTROL FRAMEWORK

WHEREAS, Users may be entitled to certain rights regarding their information, subject to applicable laws, technical feasibility, and operational considerations, as enumerated hereinunder:

Response times shall be in accordance with applicable legal requirements
Company reserves the right to decline requests that are frivolous, vexatious, or technically unfeasible

CROSS-BORDER DATA OPERATIONS FRAMEWORK

International Data Movement and Processing

WHEREAS, the Company may engage in cross-border data transfers as necessary for service provision, subject to the following terms and conditions:

The Company reserves the right to process data in multiple jurisdictions worldwide through its own facilities or those of its authorized service providers
Information may be stored, processed, or maintained in various geographic locations globally as necessary for efficient service delivery
Authorized service providers may access, process, or handle data from different territories subject to appropriate data protection agreements
Processing may occur through global infrastructure networks to ensure optimal service delivery and performance
All international transfers shall be subject to appropriate safeguards and data protection measures

Cloud Infrastructure Services: The Company may utilize third-party cloud service providers for hosting, storage, and processing purposes, subject to appropriate security measures and data protection agreements

Analytics Service Providers: The Company may utilize analytics providers for service optimization and performance monitoring, subject to data minimization principles and appropriate safeguards

Provider Obligations

All service providers shall be contractually bound to maintain appropriate security measures and data protection standards
Service providers shall be prohibited from utilizing data for purposes beyond the scope of their engagement
Providers shall be required to implement appropriate technical and organizational security measures
Regular assessments of provider compliance with security requirements shall be conducted
Providers shall be obligated to report any security incidents or data breaches immediately

AI CONTENT GENERATION AND INTELLECTUAL PROPERTY RIGHTS FRAMEWORK

Comprehensive AI-Generated Content Terms

WHEREAS, the Company's proprietary AI-powered content generation services shall be subject to the following exhaustive terms and conditions:

The Company retains exclusive and absolute ownership of all intellectual property rights, including but not limited to copyrights, patents, trade secrets, and any other proprietary rights in and to all AI-generated stories, illustrations, characters, narratives, and all derivative works thereof
Users are granted a limited, non-transferable license solely for personal, non-commercial use of the generated books and content, subject to strict compliance with these terms
Any commercial exploitation, reproduction, distribution, or public display of AI-generated content shall require explicit written authorization from the Company
The Company reserves the absolute right to modify, improve, remove, or otherwise alter any AI-generated content at its sole discretion

Usage Restrictions and Limitations

Strict prohibition on redistribution, resale, or commercial exploitation of any AI-generated content without explicit written authorization
Absolute prohibition on modification, adaptation, or alteration of generated stories or content without prior written consent
Complete prohibition on extraction, isolation, or separate use of AI-generated illustrations or visual elements
Strict prohibition on utilizing generated content for training other AI systems or machine learning models
Absolute prohibition on reverse engineering, decompiling, or attempting to extract the underlying AI models or algorithms

Content Standards and Requirements

All AI-generated content must strictly adhere to age-appropriate content standards and guidelines
Generated content shall comply with cultural sensitivity requirements and community standards
Educational suitability guidelines shall be strictly enforced for all generated content
Content must conform to platform-specific content policies and restrictions
Regular content review and moderation processes shall be implemented to ensure compliance

PHOTO PROCESSING AND CHARACTER CREATION FRAMEWORK

Comprehensive Photo Usage and Processing Terms

WHEREAS, by uploading photographs to the Service, the User expressly acknowledges, warrants, and agrees that:

The User hereby grants to the Company an irrevocable, worldwide, non-exclusive, royalty-free, perpetual license to process, modify, adapt, and utilize uploaded photographs for character creation purposes
The User expressly warrants and represents that they possess all necessary rights, licenses, and permissions for all photographs uploaded to the Platform
The User provides an absolute warranty that uploaded photographs do not infringe upon or violate any third-party rights, including but not limited to privacy rights, publicity rights, copyrights, or other intellectual property rights
For photographs containing images of minors, the User expressly warrants that they have obtained explicit parental or legal guardian consent for such use

Processing Rights and Authorization

The Company is granted complete authority to process, modify, and transform uploaded photographs using AI technologies
Authorization for integration of processed photographs into character creation systems
Permission for storage and retention of photographs as necessary for service provision
Authorization for quality improvement and system training purposes subject to anonymization
Rights to create derivative works based on processed photographs

Character Creation and Ownership Framework

WHEREAS, regarding AI-generated characters and associated rights:

All AI-generated character likenesses, including all components and derivatives thereof, shall remain the exclusive intellectual property of the Company
Users are granted a limited, non-transferable license for personal use of generated characters within the scope of purchased stories
Any modifications, customizations, or alterations to characters shall be subject to Platform limitations and restrictions
Commercial exploitation of generated characters shall require explicit written authorization from the Company

CHILD PROTECTION AND SAFETY MEASURES FRAMEWORK

Comprehensive Child Protection Protocols

WHEREAS, to ensure robust child protection and compliance with applicable regulations:

Implementation of stringent age verification protocols for all Platform users
Mandatory parental or legal guardian consent requirements for users under the age of 13 years
Implementation of restricted data collection practices for minor users in compliance with applicable laws
Deployment of enhanced privacy settings and controls for child-associated accounts

Safety Measures and Controls

Regular monitoring and assessment of child safety protocols
Implementation of content filtering systems for child protection
Deployment of abuse prevention mechanisms and reporting systems
Regular updates to safety measures based on emerging best practices
Staff training on child protection protocols and procedures

BOOK DISTRIBUTION AND USAGE RIGHTS FRAMEWORK

WHEREAS, all books generated through the Platform shall be subject to the following exhaustive terms and conditions:

Users are hereby granted a limited, non-exclusive, non-transferable, personal-use license for individual utilization of generated books, subject to continuous compliance with all applicable terms and conditions
Any form of redistribution, reproduction, or commercial exploitation of generated books is strictly prohibited without explicit written authorization from the Company
Sharing of generated books shall be strictly limited to immediate family members within the same household for personal, non-commercial purposes
All printing rights shall be exclusively limited to authorized printing services designated by the Company, and any unauthorized printing or reproduction is strictly prohibited

Usage Limitations and Restrictions

Strict prohibition on any form of commercial exploitation or monetization of generated books
Absolute restriction on public display or performance of book content without authorization
Prohibition on creation of derivative works or adaptations based on generated books
Restriction on incorporation of book content into other works or materials
Limitation on number of authorized devices for digital access

Distribution Framework and Limitations

WHEREAS, the distribution of generated books shall be subject to the following comprehensive restrictions:

Digital copies shall be strictly limited to authorized devices registered to the User's account
Any form of unauthorized reproduction, sharing, or distribution is expressly prohibited
Educational or institutional use shall require separate licensing agreements
Bulk distribution or multiple copy access shall be prohibited without specific authorization

Deployment of copy protection mechanisms for digital versions
Monitoring of access patterns for unauthorized distribution detection
Regular audits of usage patterns for compliance verification
Implementation of technical measures to prevent unauthorized sharing

SERVICE DELIVERY AND REFUND FRAMEWORK

Comprehensive Service Delivery Framework

WHEREAS, the delivery of Services shall be subject to the following terms and conditions:

All digital content delivery shall be exclusively conducted through the Company's authorized Platform and designated delivery mechanisms
Print quality and specifications shall be subject to technical limitations, available resources, and production capabilities
Delivery timeframes provided are estimates only and shall not constitute binding commitments
Access rights shall be contingent upon account status, payment verification, and compliance with all applicable terms

Delivery Specifications

Digital delivery subject to server availability and technical conditions
Print production subject to material availability and quality standards
Delivery estimates subject to modification based on operational factors
Access provision subject to system maintenance and updates
Service availability subject to technical and operational constraints

Comprehensive Refund Framework

WHEREAS, all refund requests shall be subject to the following conditions and limitations:

Digital books, once generated and delivered, shall be ineligible for refund due to their personalized nature
Print quality issues shall be evaluated on a case-by-case basis subject to documentation and verification
Service credits may be issued at the Company's sole discretion as an alternative to monetary refunds
All processing fees, generation charges, and administrative costs shall be non-refundable

Refund Conditions

Technical issues must be reported within 48 hours of generation
Print quality claims must be supported by photographic evidence
Refund requests must be submitted through designated channels
Processing times subject to operational and administrative factors
